Terms of service.

These terms are a binding agreement between you and Obscure Exhibit LLC, a Delaware limited liability company ("Obscure Exhibit," "we," "us"). They govern your access to and use of the platform, whether you use it as a creator, a brand, or an agency acting for either. By creating an account or using the platform, you agree to them. If you don't agree, don't use the platform.

1. The arrangement.

Obscure Exhibit runs a marketplace where vetted brands fund clipping campaigns and approved creators produce clips against them. We provide the platform, payment rails, and trust and safety tooling; we are not a party to the underlying creative arrangement between a brand and a creator except as expressly stated here. You are responsible for your own conduct, content, and compliance with applicable law.

2. Eligibility & accounts.

You must be at least 18 years old and able to form a binding contract to use the platform. Access may require an application reviewed by our team, and we may decline or revoke access at our discretion. You are responsible for the security of your account and for all activity under it; notify us promptly of any unauthorized use. You agree that the information you provide is accurate and kept current.

3. Payments, fees & payouts.

Brands fund campaigns in advance through our payment processor, Stripe. Creators are paid for verified views and approved clips according to each campaign's stated rules. Payouts are routed through Stripe Connect to a creator's linked account, and creators must complete Stripe's onboarding and identity verification to receive funds. All amounts are in U.S. dollars unless stated otherwise.

Obscure Exhibit charges platform fees, disclosed in-app at the point of funding and payout. We may change fees prospectively with notice. Your use of the platform after a fee change takes effect is your acceptance of it. You authorize us and our processor to charge your selected payment method for amounts you owe, including funded budgets and applicable fees.

4. Refunds, chargebacks & disputes.

Funded budgets are generally non-refundable once a campaign is live, except where required by law or expressly offered by us; unspent budget is handled per the in-app campaign-close flow. If you believe a charge or payout is wrong, contact us first through the in-app reporting flow so we can investigate — initiating a chargeback without doing so may result in account suspension and collection of amounts owed. We may place holds on funds we reasonably suspect are associated with fraud, abuse, or policy violations.

5. Taxes.

You are responsible for determining and paying any taxes that apply to your use of the platform, including income tax on payouts you receive. Where required, we or our processor may collect tax information (such as a W-9) and issue tax forms (such as a 1099) for payouts that meet reporting thresholds.

6. Content & intellectual property.

Creators retain ownership of the clips they create. Submitting a clip to a campaign grants the funding brand a non-exclusive license to use that clip for the campaign's stated purpose, and grants Obscure Exhibit a limited license to host, display, and promote it in connection with operating the platform. Brands grant creators the right to use referenced brand assets solely within the scope of the campaign treatment. Neither party may repurpose the other's intellectual property outside the agreed scope. You represent that you have the rights necessary to submit your content and that it does not infringe anyone else's rights.

7. Prohibited conduct.

  • Inflating views with bot traffic, click farms, or paid engagement networks.
  • Submitting plagiarized, AI-generated impersonation, or rights-infringing content.
  • Harassment, doxxing, hateful conduct, or targeted abuse of other users.
  • Circumventing platform fees by transacting off-platform after an introduction.
  • Misrepresenting your identity, audience, ownership, or work.
  • Interfering with, probing, or attempting to defeat the platform's security or integrity systems.

8. Trust, verification & enforcement.

We use automated and human review — including bot-traffic detection and submission verification — to protect the integrity of the marketplace. We may hold, reverse, or deny payouts tied to content that fails verification or violates these terms, and we may suspend, restrict, or remove accounts that present a risk to the platform or its users.

9. Termination.

You may stop using the platform at any time. We may suspend or terminate your access for material breach of these terms, for platform-integrity or legal reasons, or as otherwise permitted here. Payouts on approved clips earned before termination are processed subject to anti-fraud holds and these terms. Sections that by their nature should survive termination — including payment obligations, IP licenses granted, disclaimers, limitation of liability, indemnification, and dispute resolution — survive.

10. Disclaimers.

The platform is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the platform will be uninterrupted, error-free, or secure, or that any particular campaign, submission, or payout outcome will be achieved. Third-party services (such as Stripe and the social platforms whose public data we read) are governed by their own terms.

11. Limitation of liability.

To the fullest extent permitted by law, Obscure Exhibit and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, arising out of or relating to your use of the platform. Our total liability for any claim relating to the platform will not exceed the greater of the fees you paid to us in the three months before the event giving rise to the claim, or one hundred U.S. dollars ($100). Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

12. Indemnification.

You agree to indemnify and hold harmless Obscure Exhibit from and against any claims, damages, liabilities, and reasonable expenses (including attorneys' fees) arising out of your content, your use of the platform, your violation of these terms, or your infringement of any third-party right.

13. Governing law & dispute resolution.

These terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. You and Obscure Exhibit agree to first try to resolve any dispute informally by contacting us. If we can't resolve it, any dispute will be settled by binding arbitration on an individual basis (no class actions), administered under the rules of a recognized arbitration body, seated in Delaware, except that either party may seek relief in a small-claims court or seek injunctive relief for intellectual-property or misuse claims. You may opt out of arbitration within 30 days of first accepting these terms by emailing us.

14. Changes.

We'll notify users of material changes to these terms at least 14 days before they take effect, surfaced both in the in-app inbox and by email. Continued use after changes take effect is acceptance of the updated terms.

15. Data & privacy.

We collect and use data to run the platform — see the privacy policy. You can request deletion of your account and associated personal data at any time; financial records may be retained where law requires.
